This position is at the NY Green Bank, a division of NYSERDA. NY Green Bank is a globally recognized sustainable investment fund. Its mission is to accelerate clean energy deployment in New York State in alignment with the Climate Act (https://climate.ny.gov/) .
NY Green Bank collaborates with the private sector to transform financing markets. It also develops transaction structures and methodologies that overcome typical clean energy investment barriers and can serve as replicable models for other capital providers.

Job Overview
This is a full-time Senior Associate position on NY Green Bank’s Legal & Regulatory Affairs team (LRA). The LRA team evaluates risks and solves complex problems of the legal, regulatory, and transactional context of NY Green Bank. It is responsible, among other things, for providing NY Green Bank management with effective legal advice regarding business and strategic issues and ensuring NY Green Bank complies with applicable laws and regulations.
As noted in detail below, this is a clean energy project finance position supporting NY Green Bank’s over $2.4 billion in capital commitments. The LRA team, including the Senor Associate, oversees the work of NY Green Bank’s external counsel. Primary Responsibilities
Providing legal advice to deal teams and helping to structure clean energy transactions in all parts of the capital stack.
Drafting, using NY Green Bank templates, term sheets, non-disclosure agreements, commitment letters, letters of engagement, release of liens, payoff letters, reservation of rights letters and other transactional documents.
Working with and supervising outside counsel.
Supporting the deal teams on portfolio management.
Supporting the LRA Vie-President/Director and Managing Director on a series of projects and duties.
Ability to demonstrate respect, equity and inclusive behavior and practices of a diverse workforce and community.
Applicant must be focused on NY Green Bank’s and NYSERDA’s clean energy mission and public service.
Minimum Qualifications
Juris Doctor (JD) degree from an accredited law school and admission to the bar of New York State is required.
4 years in structured project finance experience at a bank, investment fund, law firm or in-house, with strong financial background.
Clean energy operational experience is both welcome and helpful, but the applicant must have the required primary project finance experience.
Position is based in NYC.
Preferred Qualifications
Juris Doctor (JD) degree from an accredited law school and admission to the bar of New York State with 7 years in structured project finance experience at a bank, investment fund, law firm or in-house, with strong financial background is preferred.
Energy project finance experience is a strong plus, particularly clean energy, tax equity, electric vehicle, green building and /or restructuring.
