Mid-level Associate (Americas EIPAF - EIPF) (White & Case LLP, New York, NY)Conduct and lead closings for acquisitions and financings of assets (including airlines), power (including renewables), oil and gas, telecommunications, infrastructure and energy transition projects. Draft, review and negotiate project financing documentation, including commitment letters, term sheets, credit agreements, security documents, intercreditor arrangements, equity support documents, guaranties, letters of credit and tax equity documents. Draft, review and negotiate project development documentation, including Engineering, Procurement and Constructions (EPC) agreements, Operations and Maintenance (O&M) agreements, offtake agreements, supply agreements, management agreements and labor agreements. Draft, review and negotiate purchase and sale, equity injection, joint venture, partnership and related ancillary documentation. Draft and review corporate legal documentation, including certificates, powers of attorney, board resolutions, shareholder resolutions and consultancy agreements. Run competitive bid processes for project development consortium with respect to government infrastructure projects. Prepare issues lists for acquisition, financing and project development documentation and lead client calls in negotiating such documentation. Manage deal teams and processes across practice areas and geographic locations. Mentor and train junior team members in deal management and contract negotiations as part of project financings and in the airline, power (including renewables), oil and gas, telecommunications, infrastructure and energy transition industries. Prepare and arrange client meetings, including taking part in client pitches related to financings of assets (including airlines), power (including renewables), oil and gas, telecommunications, infrastructure and energy transition projects. Conduct and lead due diligence as part of financings and acquisitions of assets (including airlines), power (including renewables), oil and gas, telecommunications, infrastructure and energy transition projects. Use strong communication skills (verbal and written) to discuss case management and procedural requirements with partners and associates. Attend continuing education classes related to financings and acquisitions of assets. Stay informed of recent developments in case and statutory law to manage risk to clients with respect to financing documentation. Stay informed of recent regulatory updates and current market developments to assist clients with identifying acquisition and financing opportunities. Telecommuting may be permitted up to 2 days per week. When not telecommuting, must report to White & Case, LLP, 1221 Avenue of the Americas, New York, NY 10020. Salary: $310,000 - $390,000/year.Minimum Requirements: J.D., LL.M., or U.S. equivalent in law plus at least 3 years of professional experience as an Attorney, Associate, Law Clerk, or any occupation/position/job title at an international law firm providing advice to corporate clients on cross-border transactions.Must also have experience with the following special skills: 3 years of professional experience providing advice to corporate clients on cross-border transactions in the airline, power (including renewables), oil and gas, telecommunications, infrastructure and energy transition industries; 3 years of professional experience analyzing, drafting and negotiating project finance documents (including commitment letters, term sheets, credit agreements, security documents, intercreditor arrangements, equity support documents, guaranties, letters of credit and tax equity documents) and project development documents (including EPC agreements, O&M agreements, offtake agreements, supply agreements, management agreements and labor agreements); 3 years of professional experience analyzing, drafting and negotiating corporate legal documentation, including purchase and sale, equity injection, joint venture, partnership and related ancillary documentation; 3 years of professional experience conducting and leading due diligence with respect to financings and acquisitions of assets (including airlines), power (including renewables), oil and gas, telecommunications, infrastructure and energy transition projects; 3 years of professional experience conducting and leading competitive bid processes (including managing joint venture partners, running legal calls, developing agendas and developing RFPs) for project consortiums with respect to large government funded infrastructure projects; and 3 years of professional experience in working with experts (including legal and regulatory experts) and conducting legal research on New York law and energy and infrastructure international law.
