Mid-level Associate (Americas Corporate M&A - Tax) (White & Case LLP, New York, NY)Provide advice to corporate clients on legal considerations related to tax law across a variety of transaction types including issuance of equity and debt in public offerings or under Rule 144A and Regulation S, debt exchange offerings, debt financing, Mergers & Acquisitions (M&A), and investments in private equity funds. Draft, negotiate, and revise legal transactional documentation including tax issues lists for clients for M&A, debt financing, debt or equity issuance, fund investments, structured financing and securitization transactions. Review and analyze tax provisions in various transactional documents such as stock and asset purchase agreements, merger agreements, limited partnership agreements for investments into private equity funds, loan agreements for lending transactions, registration statements for public equity offerings, and offering memoranda or circulars for collateral loan obligation (CLO) security issuances. Draft and negotiate acquisition agreements and ancillary legal documentation, loan agreements based on the model published by the Loan Syndications and Trading Association, loan agreements based on the model published by the Loan Market Association, securities registration statements, offering memoranda, offering circular, indenture, trust deed, intercreditor agreement, note purchase agreement, underwriting agreement, placement facilitation agreement, limited partnership agreements and side letters. Use strong communication skills (verbal and written) to interact with teams on the opposing sides of legal transactions and deals, such as sellers and/or buyers clients, issuers, underwriters, lenders, borrowers, Joint Venture (JV) partners, and their legal advisers. Handle domestic and cross-border legal transactions on both the buy- and sell- side, in private and public transactions, including private equity. Coordinate internal and external resources in the various competence legal areas necessary in domestic and cross-border transactions. Stay current on changes to tax law rules and regulations. Interact with multidisciplinary teams and legal practice groups, from M&A, Capital Markets and Banking groups to Technology Transactions and Real Estate teams. Supervise junior associates, Legal Assistants, and Practice Assistants in the delivery of critical tasks for both deal and business development work. Telecommuting may be permitted up to 2 days per week. When not telecommuting, must report to White & Case, LLP at 1221 Avenue of the Americas, New York, NY 10020. Salary: $310,000 - $390,000/year.Minimum Requirements: J.D., LL.M., or U.S. equivalent in law plus at least 3 years of professional experience as a Tax Law Attorney, Tax Law Associate, Law Clerk, or related occupation/position/title involving the provision of legal advice to corporate clients regarding legal taxation provisions of cross-border M&A at an international law firm.Must also have experience with the following special skills: 3 years of professional experience providing tax law counsel to lenders, syndicate of banks, domestic and foreign corporate borrowers, REIT borrowers, and sponsor-owned borrowers on debt financing, debt offerings, debt exchange offerings, equity offerings, structured financing, securitization, and SPAC transactions and fund investments, including on tax fungibility issues; 3 years of professional experience advising domestic and foreign issuers and underwriters clients on the tax law aspects of initial and follow-on offerings, offerings under Rule 144A and Regulation S, drafting and negotiating tax sections in offering memoranda, offering circulars, underwriting agreements and placement facilitation agreements, and conducting preliminary passive foreign investment company analyses; 3 years of professional experience advising clients on purchasers and sellers on tax law aspects of mergers and acquisitions transactions, drafting and negotiating legal transaction documents, including share and asset purchase agreements, merger agreements, partnership and joint venture agreements, and obtaining private letter rulings from the U.S. Internal Revenue Service; 3 years of professional experience advising domestic and foreign issuers clients, collateral managers, underwriters and parties on tax law aspects of structured financing and securitizations, including collateralized loan obligation (CLO) initial and reset offerings, whole business securitizations and swap agreements; and 3 years of professional experience advising domestic and foreign investors, including sovereign wealth funds and other Section 892 tax-exempt investors, on tax law aspects of investments in hedge funds and private equity funds, including REIT funds.
