The Managing Counsel will be the lead attorney supporting the IEEE SA and staff on a wide range of legal matters, including corporate governance, intellectual property management, non-profit tax matters, policies and procedures, and risk exposures, including antitrust issues and contractual terms specific to standards. The Managing Counsel will coordinate with other internal or external counsels on issues outside their remit. Travel is required. Key Responsibilities- Advising IEEE Standards (SA) boards and committees on a wide range of governance policies, guidelines, and recommendations.
- Acting as the primary point of contact and subject matter expert on all matters relating to standards development, including but not limited to general corporate, nonprofit tax, governance, and antitrust matters, and providing practical, timely, strategic, and balanced legal advice.
- Participation and travel (including international travel) to governance board meetings at all levels of the organization. Reviewing and negotiating IEEE collaboration and business contracts to comply with policies and procedures and to promote the IEEE mission and IEEE SA strategic goals.
- Overseeing Intellectual Property Risk (IPR) engagements with various internal and external stakeholders and leading the implementation of IEEE SA’s IPR policies and procedures.
- Providing guidance on a wide range of strategic matters, including industry and government engagement, marketing and technology policies, and financial sustainability.
- Acting as a valued strategic partner to global cross-functional teams by providing clients with an informed understanding of their legal rights, obligations, and risks to enable clients to make informed business decisions.
Additional Responsibilities- Guide IEEE stakeholders and management on regulatory and compliance issues to ensure compliance with legal regulations.
- Support the IEEE General Counsel in IEEE SA submissions to the IEEE Board of Directors and review and coordinate documentation, including amicus briefs filed individually or jointly with other organizations.
- Support the IEEE SA governance bodies in conduct or appeals proceedings.
- Guide the Patent Committee of the IEEE SA Standards Board as a non-voting member of the committee.
- Assist Standards Officers in dominance investigations.
- Coordinate resolution of legal review disputes among IEEE Standards Committees or Working Groups.
- Stay abreast of developments in relevant federal and state laws and regulations, so that implementation is planned not reactive, including exchanging, and sharing legal knowledge within the applicable IEEE entity/division/department, as well as training L&C in legal best practices, to improve the awareness, quality, and effectiveness of the legal function.
- Assist L&C with the review and drafting of various agreements.
- Evaluate new business partnerships with vendors and subcontractors.
- Examine and advise on legal issues related to new products and services.
- Advise on and negotiate corporate transactions on behalf of IEEE.
- Contribute to the Legal team’s strategy and knowledge development.
- Continuously develop personal and professional skills.
- Participate in the planning and execution of assigned projects.
- 25% of travel is required

Qualifications Education- Bachelor's degree or equivalent experience Req
- J.D. Req
Work Experience- 7-10 years of relevant in-house corporate or law firm experience. Req
- Relevant experience in intellectual property rights (copyrights, patents, trademarks) and antitrust law preferred. Pref
- Knowledge of national and international standards development and the standards industry is a plus. Pref
Licenses and Certifications - A member in good standing of the NY or NJ State Bar. Req
